SSM annual return: deadline and late penalty
Every Sdn Bhd lodges an annual return with SSM within 30 days of the anniversary of its incorporation date, every calendar year except the one it was incorporated in.

How the deadline is counted
Take your incorporation date in this year and add 30 days. A company incorporated on 15 March 2019 has its anniversary on 15 March 2026 and must lodge by 14 April 2026 (Companies Act 2016 s.68(1)). No return is needed for the calendar year in which the company was incorporated (s.68(2)).
Late penalty
For a private company, SSM Practice Directive 1/2017 sets the late lodgement penalty by how late the return is:
- more than 7 days and up to 3 months: RM50
- 3 to 6 months: RM100
- 6 to 12 months: RM150
- more than 12 months: RM200
This is on top of the RM150 lodgement fee for a private company.
Prosecution and striking off
Not lodging is an offence with a fine of up to RM50,000, plus up to RM1,000 for every day it continues (s.68(9)). A company that has not lodged for three years or more can be struck off the register (s.68(8)).
Act A1701 added beneficial ownership information to what the annual return contains (s.68(3)). The deadline did not change.
